Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Subscriber") and Buji Development Corporation, a Wyoming corporation doing business as Agent Midas ("Agent Midas," "we," "us," or "our"), with its principal office at 1712 Pioneer Ave. Ste. 500, Cheyenne, WY 82001. These Terms govern your access to and use of the Agent Midas platform, website located at www.agentmidas.xyz, related applications, APIs, and all associated services (collectively, the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
1. Acceptance of Terms
By creating an account, subscribing to any plan, or otherwise accessing or using the Service, you represent and warrant that: (a) you have the legal capacity to enter into a binding contract; (b) you are not barred from receiving services under the laws of the United States or any other applicable jurisdiction; (c) you will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations; and (d) any information you provide during registration is truthful, accurate, and complete.
We reserve the right to modify these Terms at any time. When we make material changes, we will provide at least thirty (30) days' notice via email to the address associated with your account or by posting a prominent notice within the Service. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription before the changes take effect.
2. Description of Service
Agent Midas is an autonomous AI-powered business operating system. The Service provides artificial intelligence agents that perform business tasks on your behalf, including but not limited to communications management, content creation, multimedia production, marketing automation, customer success operations, financial management, and strategic advisory. All plans are powered by the Supra autonomous intelligence engine, which orchestrates multiple specialized AI models within isolated execution environments.

All subscription tiers include a seven (7) day free trial period and access to the Supra autonomous intelligence engine. Features described above are summaries; detailed feature lists for each tier are available on the Agent Midas pricing page. We reserve the right to modify, add, or remove features from any tier upon thirty (30) days' prior notice. Subscribers will not experience a reduction in core features of their active tier during a paid billing cycle without their consent.
3. Eligibility and Registration
3.1 Age and Capacity
You must be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater, to use the Service. By registering for an account, you represent and warrant that you meet this age requirement. If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" will refer to that entity.
3.2 Account Registration
To access the Service, you must create an account by providing a valid email address and creating a secure password. You are responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activities that occur under your account; and (c) promptly notifying us at [email protected] of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with these obligations.
3.3 Account Accuracy
You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate, current, and complete. We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, outdated, or incomplete.
4. Fees and Payment
4.1 Subscription Fees
Access to the Service requires a paid subscription at the tier level you select. All prices are listed in United States dollars (USD) and are exclusive of applicable taxes, which will be added to your invoice where required by law. There are no setup fees, onboarding fees, or minimum contract commitments. You may subscribe on a month-to-month basis and cancel at any time.
4.2 Free Trial
Each new subscriber is entitled to a seven (7) day free trial of their selected tier. During the trial period, you will have full access to all features included in your chosen tier. If you do not cancel before the end of the trial period, your subscription will automatically convert to a paid subscription, and your payment method will be charged the applicable monthly fee. You may cancel your trial at any time during the seven-day period without incurring any charges.
4.3 Payment Processing
All payments are processed through Stripe, Inc. ("Stripe"). By providing your payment information, you authorize us and Stripe to charge your designated payment method for all fees incurred in connection with your subscription. You agree to Stripe's Terms of Service as they apply to payment processing. We do not store your full credit card number or CVV on our servers.
4.4 Billing Cycle and Renewal
Subscriptions are billed on a monthly recurring basis on the same calendar date as your initial subscription (or the nearest available date). Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may upgrade or downgrade your tier at any time; changes take effect at the beginning of the next billing cycle, and prorated credits or charges will be applied as applicable.
4.5 Failed Payments and Grace Period
If a scheduled payment fails, we will notify you by email and provide a seven (7) day grace period during which you may update your payment information. During the grace period, your access to the Service will remain active. If payment is not successfully processed within the grace period, your account will be suspended, and your data will be retained for thirty (30) days in accordance with Section 15 (Termination). After thirty (30) days of suspension, your account and associated data may be permanently deleted.
4.6 Refunds
All subscription fees are non-refundable except as expressly provided in these Terms or as required by applicable law. If you cancel your subscription mid-cycle, you will retain access to the Service through the end of your current billing period but will not receive a prorated refund for the remaining days.
4.7 Price Changes
We reserve the right to change our subscription fees at any time. If we increase the price of your current tier, we will provide at least thirty (30) days' advance notice via email. The price change will take effect at the start of your next billing cycle following the notice period. If you do not agree to the new pricing, you may cancel your subscription before the price change takes effect.
5. AI-Generated Content and Output
5.1 Ownership of Output
Subject to your compliance with these Terms and your active subscription, you own all rights, title, and interest in the output generated by the Service using your data and prompts ("Output"). This includes text, images, audio, video, code, and any other content produced by the AI agents on your behalf. Agent Midas does not claim any ownership interest in your Output.
5.2 Copyright Guidance
You acknowledge that the legal landscape regarding copyright protection for AI-generated content is evolving. Under current United States Copyright Office guidance, works generated entirely by AI without meaningful human creative input may not be eligible for copyright registration. We recommend that you exercise meaningful creative direction over Output you wish to protect under copyright law, including by providing detailed prompts, making substantive editorial decisions, and curating or modifying the generated content. Agent Midas makes no representations or warranties regarding the copyrightability of any Output.
5.3 No Training on Your Data
Agent Midas will not use your proprietary data, uploaded content, prompts, or Output to train, fine-tune, or improve our AI models or those of any third party. Your data is processed solely to deliver the Service to you and is isolated within your dedicated environment as described in Section 6. We may use aggregated, anonymized, and de-identified usage statistics (such as feature adoption rates and error frequencies) to improve the Service, but such data will never include your proprietary content.
5.4 Accuracy and Human Review
AI-generated Output may contain errors, inaccuracies, or hallucinated information. You are solely responsible for reviewing, verifying, and validating all Output before use, publication, or reliance. Agent Midas does not guarantee the accuracy, completeness, or fitness of any Output for any particular purpose. You should not rely on Output as legal, financial, medical, or other professional advice without independent verification by a qualified professional.
6. Data Isolation and Security
6.1 Data Isolation
Each subscriber's data is isolated through row-level security policies enforced at the database layer, combined with application-level authorization on every API request. This architecture ensures that your data, configurations, API keys, and Output are logically separated from those of other subscribers. No subscriber can access, view, or interact with another subscriber's data.
6.2 Encryption
All data is encrypted in transit using TLS 1.2 or higher and encrypted at rest using AES-256 encryption. API keys and credentials that you provide for third-party integrations are stored in encrypted vaults and are accessible only within your authenticated session during active task execution.
6.3 Multi-AI Redundancy
The Supra engine leverages multiple AI model providers to ensure service continuity. If one provider experiences downtime or degraded performance, the system automatically routes requests to an alternate provider. This multi-AI redundancy architecture is designed to minimize service interruptions and maintain consistent Output quality.
6.4 Security Practices
We maintain commercially reasonable administrative, technical, and physical safeguards to protect your data. These include, but are not limited to: regular security audits, vulnerability scanning, access controls with role-based permissions, audit logging of all system access, and incident response procedures. For more information, please refer to our Data Processing Addendum.
7. Uptime and Service Level
7.1 Uptime Target
Agent Midas targets ninety-nine percent (99%) monthly uptime for the Service, measured as the total number of minutes in a calendar month minus the number of minutes of Downtime, divided by the total number of minutes in the month. "Downtime" means periods during which the Service is materially unavailable, excluding Scheduled Maintenance (as defined below) and force majeure events.
7.2 Service Credits
If the Service fails to meet the 99% uptime target in any calendar month, you are eligible to receive a service credit equal to ten percent (10%) of your monthly subscription fee for each full percentage point below the target, up to a maximum credit of thirty percent (30%) of your monthly fee. To request a service credit, you must submit a written request to [email protected] within thirty (30) days after the end of the affected month. Service credits are applied to future billing cycles and are not redeemable for cash.
7.3 Scheduled Maintenance
We may perform scheduled maintenance during off-peak hours (typically between 2:00 AM and 6:00 AM Eastern Time). We will provide at least twenty-four (24) hours' advance notice of scheduled maintenance via email or in-platform notification. Periods of scheduled maintenance are not counted as Downtime for purposes of calculating uptime.
7.4 Exclusions
The uptime target and service credit provisions do not apply to: (a) interruptions caused by factors outside our reasonable control, including internet access issues, force majeure events, or third-party service provider failures; (b) interruptions resulting from your actions or inactions, including misconfiguration of your account settings; or (c) features or services labeled as "beta," "preview," or "experimental."
8. Acceptable Use Policy
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. The Acceptable Use Policy sets forth the types of content and activities that are prohibited on the Service, including but not limited to the generation of illegal content, content that infringes on the intellectual property rights of third parties, malware or malicious code, spam or unsolicited bulk messaging, and content that promotes violence, discrimination, or harassment.
Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account without prior notice, at our sole discretion. We reserve the right to investigate suspected violations and cooperate with law enforcement authorities in the prosecution of users who are involved in criminal conduct.
9. Intellectual Property
9.1 Agent Midas Intellectual Property
The Service, including but not limited to the Supra engine, all software, algorithms, machine learning models, user interface designs, trade dress, trademarks, service marks, logos, and documentation, is the exclusive property of Buji Development Corporation and its licensors. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or disassemble any part of the Service.
9.2 Your Intellectual Property
You retain all rights, title, and interest in the data, content, and materials you upload to or input into the Service ("Your Content"). By using the Service, you grant Agent Midas a limited, non-exclusive, worldwide, royalty-free license to process, store, and transmit Your Content solely for the purpose of providing the Service to you. This license terminates when you delete Your Content or when your account is terminated, subject to reasonable backup and retention periods.
9.3 Feedback
If you provide suggestions, ideas, enhancement requests, feature recommendations, or other feedback regarding the Service ("Feedback"), you hereby grant Agent Midas an irrevocable, perpetual, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, create derivative works from, distribute, and otherwise exploit such Feedback for any purpose, without any obligation of compensation, attribution, or confidentiality to you.
10. AI Compliance and Regulatory Disclosures
10.1 General Disclosure
Agent Midas uses artificial intelligence and machine learning technologies to provide its services. Output generated by the Service is produced by automated systems and should not be treated as human- authored content without disclosure. You are responsible for complying with all applicable laws and regulations regarding the disclosure of AI-generated content in your jurisdiction, including but not limited to requirements related to advertising, consumer protection, and professional services.
10.2 Colorado AI Act Compliance
In accordance with the Colorado Artificial Intelligence Act (SB 24-205), Agent Midas provides the following disclosures: (a) the Service uses AI systems to automate business tasks and generate content; (b) no decisions made by the Service are intended to be "consequential decisions" as defined under the Act affecting employment, education, financial services, healthcare, housing, insurance, or legal services without human review; (c) subscribers who deploy Output in contexts that may constitute consequential decision-making are solely responsible for ensuring compliance with applicable requirements, including providing notice to affected individuals, conducting impact assessments, and maintaining human oversight.
10.3 EU AI Act Compliance
For subscribers located in the European Union or who deploy Output within the EU, Agent Midas is classified as a general-purpose AI system provider. We maintain technical documentation, implement a quality management system, and ensure transparency in accordance with the EU Artificial Intelligence Act (Regulation (EU) 2024/1689). The Service is not designed or intended for use as a "high-risk AI system" as defined under the Act. Subscribers who use the Service as a component of a high-risk AI system are responsible for their own compliance obligations, including conducting conformity assessments and registering with the appropriate national authority.
10.4 NIST AI Risk Management Framework
Agent Midas aligns its AI development and deployment practices with the National Institute of Standards and Technology (NIST) AI Risk Management Framework (AI RMF 1.0). This includes practices related to: (a) governance and accountability for AI systems; (b) mapping and documenting AI system capabilities and limitations; (c) measuring and monitoring AI system performance, bias, and reliability; and (d) managing identified risks through technical and organizational controls.
11. Warranties and Disclaimers
11.1 Limited Warranty
Agent Midas warrants that the Service will perform materially in accordance with its published documentation during the term of your subscription. If the Service fails to conform to this warranty, your sole and exclusive remedy is, at our option, repair or replacement of the non- conforming aspect of the Service, or a pro-rata refund of the fees paid for the affected period.
11.2 Disclaimer of Warranties
EXCEPT FOR THE LIMITED WARRANTY SET FORTH IN SECTION 11.1, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENT MIDAS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
WITHOUT LIMITING THE FOREGOING, AGENT MIDAS DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (C) THE QUALITY OF ANY OUTPUT WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED. YOU ACKNOWLEDGE THAT AI SYSTEMS ARE INHERENTLY PROBABILISTIC AND MAY PRODUCE INCORRECT, INCOMPLETE, OR BIASED OUTPUT.
12. Limitation of Liability
12.1 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGENT MIDAS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER AGENT MIDAS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF AGENT MIDAS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO AGENT MIDAS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
12.3 Basis of the Bargain
You acknowledge and agree that the limitations of liability set forth in this Section 12 reflect a reasonable allocation of risk between the parties and are a fundamental element of the basis of the bargain between you and Agent Midas. Agent Midas would not provide the Service to you without these limitations.
12.4 Exceptions
Nothing in these Terms shall limit or exclude liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be lawfully limited or excluded under applicable law; or (d) your breach of the Acceptable Use Policy.
13. Indemnification
You agree to indemnify, defend, and hold harmless Agent Midas, Buji Development Corporation, and their respective officers, directors, employees, agents, affiliates, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or relating to:
- Your use of the Service or any Output generated through your account;
- Your violation of these Terms, including the Acceptable Use Policy;
- Your violation of any applicable law, regulation, or third-party right;
- Any content, data, or materials you upload to or transmit through the Service;
- Your deployment of Output in a manner that causes harm to third parties, including but not limited to claims of defamation, intellectual property infringement, or regulatory non-compliance;
- Any dispute between you and a third party relating to your use of the Service.
Agent Midas reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Agent Midas in asserting any available defenses. You will not settle any claim subject to this Section without Agent Midas's prior written consent.
14. Dispute Resolution
14.1 Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.
14.2 Informal Resolution
Before initiating any formal dispute resolution proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for a period of at least thirty (30) days. Most disputes can be resolved through good-faith negotiation without the need for arbitration or litigation.
14.3 Binding Arbitration
If a dispute cannot be resolved informally, you and Agent Midas agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (including the determination of the scope or applicability of this agreement to arbitrate) shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Cheyenne, Wyoming, or, at the election of either party, by videoconference. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
14.4 Class Action Waiver
YOU AND AGENT MIDAS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. UNLESS BOTH YOU AND AGENT MIDAS AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
14.5 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Additionally, claims that qualify for small claims court in Laramie County, Wyoming may be brought in small claims court in lieu of arbitration.
15. Termination
15.1 Termination by You
You may cancel your subscription and terminate your account at any time through your account settings or by contacting us at [email protected]. Upon cancellation, you will retain access to the Service through the end of your current billing cycle. No refunds will be issued for the remaining portion of any prepaid billing period.
15.2 Termination by Agent Midas
We may suspend or terminate your account and access to the Service immediately and without prior notice if: (a) you breach any provision of these Terms, including the Acceptable Use Policy; (b) you fail to pay applicable fees after the grace period described in Section 4.5; (c) we are required to do so by law or court order; or (d) we reasonably believe that your account is being used for fraudulent or illegal purposes. In cases of non-material breach, we will provide you with written notice and a reasonable opportunity to cure the breach before termination.
15.3 Effect of Termination
Upon termination of your account: (a) your license to use the Service immediately terminates; (b) you must cease all use of the Service; and (c) we will make your data available for export for thirty (30) days following termination. After the thirty-day export period, we may permanently delete all data associated with your account, including Your Content and Output stored on our systems. We are not obligated to retain any data beyond this period.
15.4 Survival
The following sections shall survive termination of these Terms: Section 5 (AI-Generated Content and Output), Section 9 (Intellectual Property), Section 11 (Warranties and Disclaimers), Section 12 (Limitation of Liability), Section 13 (Indemnification), Section 14 (Dispute Resolution), and this Section 15.4.
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, and Data Processing Addendum (where applicable), constitute the entire agreement between you and Agent Midas regarding the Service and supersede all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral, relating to the subject matter hereof.
16.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
16.3 Waiver
No failure or delay by Agent Midas in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof. A single or partial exercise of any right, power, or privilege shall not preclude any other or further exercise of that right, power, or privilege or the exercise of any other right, power, or privilege under these Terms.
16.4 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder, in whole or in part, without the prior written consent of Agent Midas. Agent Midas may assign these Terms without your consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Any purported assignment in violation of this Section shall be void. Subject to the foregoing, these Terms shall bind and inure to the benefit of the parties, their successors, and permitted assigns.
16.5 Force Majeure
Agent Midas shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, power outages, internet or telecommunications failures, cyberattacks, or strikes. In the event of a force majeure event lasting more than sixty (60) consecutive days, either party may terminate these Terms upon written notice.
16.6 Notices
All notices under these Terms shall be in writing. Notices to you will be sent to the email address associated with your account. Notices to Agent Midas shall be sent to:

16.7 Relationship of the Parties
Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Agent Midas. Neither party has the authority to bind the other or to incur obligations on behalf of the other without prior written consent.
16.8 Third-Party Beneficiaries
These Terms do not confer any rights, remedies, or benefits upon any person or entity other than the parties hereto and their respective successors and permitted assigns, except that the Indemnified Parties identified in Section 13 are intended third-party beneficiaries of the indemnification obligations set forth therein.
16.9 Electronic Communications
By using the Service, you consent to receive electronic communications from Agent Midas, including emails, in-platform notifications, and messages. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
16.10 Export Compliance
You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to United States trade sanctions or embargoes, and that you are not identified on any United States government restricted party list. You agree to comply with all applicable export control laws and regulations in your use of the Service.
16.11 Headings
The section headings in these Terms are for convenience only and have no legal or contractual significance.
17. Commission Policy
The Agent Midas affiliate commission structure, including but not limited to commission rates, the Dynamic Two-Up compensation model, payout phases, rolling reserves, administrative fees, minimum payout thresholds, Know Your Customer (KYC) verification requirements, and payout method requirements, is governed by the Agent Midas Commission Policy v1.0, effective March 17, 2026.
The Commission Policy is incorporated by reference into these Terms of Service and is available at agentmidas.xyz/commission-policy.
In the event of a conflict between these Terms of Service and the Commission Policy, the Commission Policy shall control with respect to commission-related matters. All other provisions of these Terms of Service remain in full force and effect.
By participating in the Agent Midas affiliate program, you acknowledge that you have read, understood, and agree to be bound by the Commission Policy.
18. Anti-Stacking Policy
Promotional offers, discount codes, trial extensions, and incentive programs offered by Agent Midas or its affiliates may not be combined or "stacked" unless explicitly stated otherwise in the terms of the specific promotion. The following rules apply:
18.1 Promotional Code Limits
Only one promotional code may be applied per subscription checkout. If multiple promotional codes are presented, only the most recently applied code will take effect. Previous codes are void upon application of a new code.
18.2 Trial Period Stacking Prohibited
Free trial periods may not be combined or extended by applying multiple trial offers, creating multiple accounts, or re-registering with different email addresses to obtain additional trial periods. Each individual is entitled to one (1) trial period per lifetime, regardless of the number of email addresses, devices, or payment methods used.
18.3 Tier Upgrade Promotions
Promotional tier upgrades (such as "sell a Tier 4, get a free tier upgrade") apply once per qualifying action. Multiple qualifying actions during a single promotional window do not result in multiple tier upgrades unless the promotion explicitly states otherwise.
18.4 Commission Promotions
Temporary commission bonuses or enhanced commission rates apply only to sales made during the explicitly stated promotional window. Sales completed before or after the promotional window are compensated at the standard 75% rate.
18.5 Referral Self-Dealing Prohibited
Subscribers may not refer themselves, create fictitious referrals, use multiple accounts to generate commissions, or otherwise manipulate the referral system. Any subscriber found engaging in self-dealing or referral manipulation will have their commissions reversed and their affiliate status revoked. Account termination may result.
18.6 Account Limits
Each individual is permitted one (1) Agent Midas subscriber account. Creating multiple accounts to circumvent trial limits, promotional limits, token allocations, or commission structures is a violation of these Terms and will result in termination of all associated accounts.
18.7 Enforcement
Buji Development Corporation reserves the right to void any promotion, reverse any commission, or terminate any account that violates this Anti-Stacking Policy. Determinations of policy violations are made at the sole discretion of Buji Development Corporation.
18.8 Modification
This Anti-Stacking Policy may be updated at any time. Changes will be communicated via email to active subscribers and posted in the Terms of Service. Continued use of Agent Midas after notification constitutes acceptance of the updated policy.
