Affiliate Agreement

This Affiliate Agreement ("Agreement") is entered into between Buji Development Corporation, a Wyoming corporation with its principal office at 1712 Pioneer Ave. Ste. 500, Cheyenne, WY 82001 ("Company," "we," "us," or "Agent Midas"), and you ("Affiliate," "you," or "your"), collectively referred to as the "Parties." By enrolling in the Agent Midas Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.

1. Program Overview

The Agent Midas Affiliate Program ("Program") enables participants to earn commissions by referring new subscribers to the Agent Midas platform at www.agentmidas.xyz. The Program is built on a proprietary compensation model inspired by the Australian Two-Up system, which rewards affiliates with generous, recurring commissions while maintaining full regulatory compliance.

1.1 Core Principles

• 75% Commission Rate: Affiliates earn seventy-five percent (75%) of the recurring subscription revenue generated by their qualifying referred subscribers, paid for the lifetime of the subscription.
• Real-Time Payouts: All commissions are processed and disbursed through Stripe Connect in real time. When a referred subscriber makes a payment, your commission is calculated and deposited into your connected Stripe account automatically, with no manual invoicing or delayed payout cycles.
• Australian Two-Up Model: The compensation structure uses a Two-Up pass-up model in which your first and third qualifying sales "pass up" to your sponsoring affiliate. In return, you receive the pass-up commissions from every affiliate you personally sponsor. This creates a self-sustaining referral network where experienced affiliates are rewarded for mentoring new participants. Full details of the pass-up mechanics are described in Section 3.
• Product-Centric: The Program exists solely to distribute Agent Midas subscription products. There are no enrollment fees, no inventory requirements, and no mandatory purchases. Commissions are derived entirely from genuine product subscriptions by end-user customers.

2. Enrollment

2.1 Eligibility

The Program is open to any individual or entity that meets the following requirements:

• You are at least eighteen (18) years of age, or the age of majority in your jurisdiction.
• You have a valid Agent Midas account in good standing.
• You are legally authorized to enter into binding agreements in your jurisdiction.
• You can receive payments through Stripe Connect in your country of residence.
• You are not located in a jurisdiction where participation in affiliate programs is prohibited by applicable law.

2.2 Enrollment Process

Enrollment in the Program is free of charge and is activated automatically upon creating an Agent Midas account. There is no separate application process, no enrollment fee, and no requirement to purchase any product or subscription tier in order to participate as an affiliate. Upon account creation, you will receive a unique affiliate referral link and access to the affiliate dashboard, which provides real-time tracking of referrals, commissions, and payout history.

2.3 Stripe Connect Onboarding

To receive commission payouts, you must complete the Stripe Connect onboarding process, which includes identity verification and banking information. Commission earnings will accrue in your affiliate dashboard but cannot be disbursed until Stripe Connect onboarding is complete. Agent Midas is not responsible for delays caused by incomplete or inaccurate Stripe onboarding information.

3. Commission Structure

3.1 Subscription Tiers and Commission Rates

Agent Midas offers eight (8) subscription tiers. Affiliates earn a 75% recurring commission on each qualifying referred subscription for as long as the subscriber maintains an active, paid subscription. The following table details the commission structure for each tier:

3.2 Two-Up Pass-Up Model

The Agent Midas Affiliate Program uses an Australian Two-Up compensation model. Under this model, your first (1st) and third (3rd) qualifying personal sales "pass up" to your sponsoring affiliate (the person who referred you to the Program). This means:

• Sale #1 (Pass-Up): The commissions from your first qualifying referral are credited to your sponsor rather than to you. Your sponsor receives the full 75% recurring commission from that subscriber.
• Sale #2 (Yours): You retain the full 75% recurring commission from your second qualifying referral.
• Sale #3 (Pass-Up): The commissions from your third qualifying referral are credited to your sponsor.
• Sale #4 and Beyond (Yours): From your fourth qualifying referral onward, you retain the full 75% recurring commission from every subsequent referral with no further pass-ups.

Conversely, you will receive the pass-up commissions (sales #1 and #3) from every affiliate that you personally sponsor. As your network of sponsored affiliates grows, these pass-up commissions can become a significant and compounding source of recurring revenue. The Two-Up model incentivizes experienced affiliates to actively recruit, train, and support new affiliates, because their success directly translates into pass-up commissions for you.

3.3 Commission Calculation and Payment

• Commissions are calculated as 75% of the net subscription amount after any applicable payment processor fees, refunds, or chargebacks.
• Commissions are recurring and are paid each billing cycle for as long as the referred subscriber maintains an active, paid subscription.
• Payments are processed through Stripe Connect and deposited into your linked bank account according to Stripe's standard payout schedule (typically 2 business days after the subscriber's payment is confirmed).
• If a referred subscriber downgrades to a lower tier, your commission adjusts proportionally. If a subscriber upgrades, your commission increases accordingly.
• If a referred subscriber cancels their subscription, your recurring commission from that subscriber ceases at the end of their current billing period.

3.4 Chargebacks and Refunds

If a referred subscriber initiates a chargeback or receives a refund, the corresponding commission will be deducted from your future earnings. If your affiliate account balance is insufficient to cover the deduction, the negative balance will carry forward and be offset against future commissions. Agent Midas reserves the right to suspend commission payouts if fraudulent referral activity is suspected pending investigation.

4. Affiliate Obligations

4.1 Permitted Marketing Activities

Affiliates are encouraged to promote Agent Midas through lawful and ethical marketing channels, including but not limited to:

• Personal websites, blogs, and content platforms.
• Social media accounts (Twitter/X, YouTube, Instagram, TikTok, LinkedIn, etc.).
• Email marketing to opt-in subscribers who have consented to receive communications from you.
• Podcasts, webinars, and live-stream presentations.
• Online communities and forums where self-promotion is permitted by the community rules.
• Paid advertising (search, social, display) subject to the restrictions below.

4.2 Prohibited Activities

Affiliates shall not engage in any of the following:

• Spam: Sending unsolicited commercial messages, bulk emails, or communications to individuals who have not opted in.
• Misleading Claims: Making false, deceptive, or unsubstantiated claims about Agent Midas products, services, or earning potential. You may not guarantee specific income levels or imply that commissions are guaranteed.
• Trademark Bidding: Bidding on "Agent Midas," "AgentMidas," "Buji Development," or any confusingly similar variations as keywords in paid search advertising campaigns (e.g., Google Ads, Bing Ads).
• Impersonation: Representing yourself as an employee, officer, or authorized agent of Buji Development Corporation or Agent Midas.
• Cookie Stuffing: Using any technique to artificially set affiliate tracking cookies without a genuine user click or action.
• Self-Referral: Creating multiple accounts or referring yourself to earn commissions on your own subscriptions.
• Illegal Activity: Promoting Agent Midas in connection with any illegal activity, including but not limited to money laundering, fraud, or securities violations.
• Incentivized Sign-Ups: Offering cash, rebates, or other inducements to prospective subscribers solely to generate affiliate commissions, unless pre-approved in writing by Agent Midas.

4.3 FTC Disclosure Requirements

In accordance with the Federal Trade Commission's ("FTC") Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255), you are required to clearly and conspicuously disclose your material relationship with Agent Midas in all promotional content. Specifically:

• Every piece of content that contains an affiliate link or recommends Agent Midas must include a clear disclosure such as: "I am an affiliate of Agent Midas and may earn a commission if you subscribe through my link."
• Disclosures must be placed in a location where they are easily noticed by the audience (e.g., above the fold on a webpage, at the beginning of a video, or within the first few lines of a social media post). Buried footer disclosures are insufficient.
• Video and audio content must include a verbal disclosure in addition to any written disclosures.
• Failure to comply with FTC disclosure requirements may result in immediate termination of your affiliate account and forfeiture of unpaid commissions.

5. Affiliate Link Types

Upon enrollment, you will receive access to multiple affiliate link types, each designed for different marketing contexts. All links include your unique affiliate tracking identifier and use first-party cookies with a thirty (30) day attribution window.

5.1 Landing Page Link

Directs prospects to the main Agent Midas marketing page. This link is suitable for general-purpose promotion across social media, blog posts, and email campaigns. The landing page includes product information, feature highlights, subscription tier details, and a call-to-action to sign up.

5.2 Webinar Page Link

Directs prospects to a scheduled or on-demand webinar presentation about Agent Midas. This link is ideal for affiliates who use educational content marketing, YouTube descriptions, or email sequences that lead into a longer-form presentation. Webinar registrations are tracked and attributed to your affiliate account.

5.3 Whitepaper Page Link

Directs prospects to a downloadable whitepaper or research document related to Agent Midas's technology, methodology, or market analysis capabilities. This link is designed for affiliates targeting a more technical or institutional audience. Whitepaper downloads require an email opt-in, which is tracked and attributed to your affiliate account.

5.4 Link Integrity

You may not modify, cloak, or redirect affiliate links in any manner that interferes with proper attribution tracking. You may use URL shorteners (e.g., Bitly) provided the underlying affiliate link remains intact. Agent Midas reserves the right to void commissions arising from improperly tracked or manipulated links.

6. Term and Termination

6.1 Term

This Agreement is effective upon your enrollment in the Program and continues indefinitely until terminated by either Party in accordance with this Section.

6.2 Termination by Affiliate

You may terminate this Agreement at any time by providing written notice to Agent Midas at [email protected] or by deactivating your affiliate account through the dashboard. Upon termination, you will receive payment for all earned and unpaid commissions within thirty (30) days, provided there are no pending chargebacks or disputes.

6.3 Termination by Agent Midas

Agent Midas may terminate this Agreement and your participation in the Program immediately and without prior notice if:

• You breach any provision of this Agreement.
• You engage in any Prohibited Activity described in Section 4.2.
• You fail to comply with FTC disclosure requirements after receiving a written warning.
• Your promotional activities damage the reputation or goodwill of Agent Midas.
• Fraudulent referral activity is detected on your account.
• You become subject to bankruptcy, insolvency, or similar proceedings.

Agent Midas may also terminate this Agreement for convenience upon thirty (30) days written notice. In the event of termination for convenience, all earned and unpaid commissions will be paid within thirty (30) days.

6.4 Effect of Termination

Upon termination: (a) all rights granted to you under this Agreement cease immediately; (b) you must remove all affiliate links from your marketing channels within seven (7) days; (c) you must cease all use of Agent Midas trademarks and marketing materials; and (d) any pass-up commissions owed by you to your sponsor will continue to be honored from existing referred subscribers.

7. Intellectual Property

7.1 License Grant

Agent Midas grants you a limited, non-exclusive, non-transferable, revocable license to use Agent Midas trademarks, logos, brand guidelines, and approved marketing materials solely for the purpose of promoting Agent Midas products in accordance with this Agreement. This license is effective only during the term of this Agreement and is automatically revoked upon termination.

7.2 Restrictions

• You may not modify, alter, or create derivative works of any Agent Midas trademarks, logos, or marketing materials without prior written approval.
• You may not register any domain name, social media handle, or business name that contains "Agent Midas," "AgentMidas," "Buji," or any confusingly similar variations.
• All goodwill arising from your use of Agent Midas trademarks inures solely to the benefit of Buji Development Corporation.

7.3 Affiliate Content

You retain ownership of all original content you create to promote Agent Midas (blog posts, videos, social media posts, etc.). However, you grant Agent Midas a non-exclusive, royalty-free, worldwide license to use, reproduce, and distribute your promotional content for marketing purposes, with appropriate attribution. This license survives termination of this Agreement.

8. Independent Contractor

You are an independent contractor and not an employee, agent, partner, or joint venturer of Buji Development Corporation or Agent Midas. Nothing in this Agreement creates an employment relationship, partnership, joint venture, or agency relationship between the Parties. You are solely responsible for:

• Paying all federal, state, and local taxes, including self-employment taxes, arising from commissions earned under this Agreement.
• Complying with all applicable tax reporting requirements. If you are a U.S. person and earn $600 or more in commissions in a calendar year, you will receive a Form 1099-NEC from Agent Midas.
• Obtaining any business licenses, permits, or registrations required in your jurisdiction to operate as an affiliate marketer.
• Providing your own equipment, workspace, and internet access for all affiliate activities.

Agent Midas does not provide health insurance, retirement benefits, workers' compensation, or any other employee benefits to affiliates. You have no authority to bind Agent Midas to any contract, obligation, or liability.

9. Disclaimers and Limitation of Liability

9.1 No Guarantee of Earnings

Agent Midas makes no representations or warranties regarding the amount of commissions you may earn through the Program. Earnings depend entirely on your individual marketing efforts, the number and quality of your referrals, and the subscription choices of referred customers. The commission examples and tier tables provided in this Agreement and in marketing materials are for illustrative purposes only and do not constitute a guarantee, projection, or promise of actual earnings.

9.2 Disclaimer of Warranties

THE PROGRAM, THE PLATFORM, AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AGENT MIDAS DOES NOT WARRANT THAT THE PROGRAM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT TRACKING AND ATTRIBUTION WILL BE 100% ACCURATE AT ALL TIMES.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BUJI DEVELOPMENT CORPORATION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE PROGRAM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF AGENT MIDAS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AGENT MIDAS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS ACTUALLY PAID TO YOU DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

9.4 Indemnification

You agree to indemnify, defend, and hold harmless Buji Development Corporation, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of this Agreement; (b) your marketing activities and promotional content; (c) your violation of any applicable law or regulation, including FTC guidelines; or (d) any third-party claim arising from your participation in the Program.

10. Dispute Resolution

10.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.

10.2 Informal Resolution

Before initiating any formal dispute resolution proceeding, the Parties agree to attempt to resolve any dispute arising out of or relating to this Agreement through good-faith negotiations. The complaining Party shall send a written notice to the other Party describing the dispute in reasonable detail. The Parties shall have thirty (30) days from receipt of such notice to reach a mutually acceptable resolution.

10.3 Binding Arbitration

If the Parties are unable to resolve the dispute through informal negotiation within the thirty (30) day period, the dispute shall be submitted to and resolved exclusively by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator in Cheyenne, Wyoming, or, at the election of either Party, remotely via video conference. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

10.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST BUJI DEVELOPMENT CORPORATION OR AGENT MIDAS.

10.5 Exceptions

Notwithstanding the foregoing, either Party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

11. Anti-Pyramid Scheme Compliance

11.1 Legitimate Product Sales

The Agent Midas Affiliate Program is a legitimate affiliate marketing program, not a pyramid scheme, multi-level marketing (MLM) scheme, or chain referral program as defined under the FTC Act (15 U.S.C. Section 45) or any state anti-pyramid statute. The distinguishing characteristics of this Program include:

• Real Product, Real Value: All commissions are derived from the sale of genuine Agent Midas subscription products that provide substantive value to end-user customers (AI-powered market analysis, portfolio tools, and research capabilities). The products exist independently of the affiliate program and are purchased by subscribers for their utility, not as a prerequisite to earning commissions.
• No Enrollment Fees: There is no cost to join the Program. Affiliates are never required to pay an enrollment fee, purchase a starter kit, or buy any product in order to participate.
• No Inventory Requirements: Affiliates do not purchase, hold, or resell inventory. Agent Midas is a digital SaaS platform; there are no physical products, no minimum purchase requirements, and no auto-ship programs.
• Retail Focus: The majority of revenue generated through the Program comes from retail subscribers who are end-user customers of the Agent Midas platform. Commissions are tied to genuine subscription payments, not to the recruitment of other affiliates.
• Limited Depth: The Two-Up model involves a maximum of one level of pass-up commissions (from personally sponsored affiliates only). There is no multi-level commission chain, no downline beyond the direct sponsor relationship, and no requirement to build a "team" to earn commissions.

11.2 Income Disclosure

Agent Midas is committed to transparency regarding affiliate earnings. The commission table in Section 3.1 represents the mathematical commission rate applied to each tier; it does not represent typical or guaranteed earnings. Actual affiliate earnings vary widely based on individual effort, marketing skill, audience size, and market conditions. Many affiliates earn no commissions at all. Agent Midas may publish an annual Income Disclosure Statement providing aggregated and anonymized data on affiliate earnings distributions.

11.3 Compliance with Applicable Laws

Agent Midas has designed the Program to comply with the FTC's guidelines on business opportunity and referral marketing programs, the FTC's Guides Concerning the Use of Endorsements and Testimonials (16 CFR Part 255), and applicable state laws governing referral programs and business opportunities. If any provision of this Agreement is found to conflict with applicable law, that provision shall be reformed to the minimum extent necessary to comply with such law, and the remaining provisions shall continue in full force and effect.
