CONFIDENTIAL — For Agent Midas Subscribers and Affiliates Only

1. Definitions

1.1. "Agent Midas" or "the Platform" refers to the AI-powered business operating system operated by Buji Development Corporation.

1.2. "Subscriber" refers to any individual or entity that maintains an active paid subscription to Agent Midas.

1.3. "Affiliate" refers to any Subscriber who participates in the Agent Midas referral program by sharing marketing links and referring new Subscribers.

1.4. "Commission" refers to the percentage of a referred Subscriber's monthly subscription payment that is earned by the referring Affiliate.

1.5. "Referral" refers to a new Subscriber who subscribed to Agent Midas through an Affiliate's unique marketing link.

1.6. "Sponsor" refers to the Affiliate who originally referred the Affiliate into the Agent Midas program.

1.7. "Passup" refers to the assignment of a commission to the Affiliate's Sponsor as required by the Dynamic Two-Up compensation model.

1.8. "Rolling Reserve" refers to a temporary hold on a portion of earned commissions as a chargeback protection measure.

1.9. "KYC" (Know Your Customer) refers to the identity verification process required of all Affiliates before commission disbursement.

1.10. "Payout" refers to the disbursement of earned commissions to an Affiliate's connected payment method.

1.11. "Flux Capacitor" refers to the Agent Midas token balance system.

1.12. "Tier" refers to one of the eight subscription levels offered by Agent Midas, numbered 1 through 8.

1.13. "Administrative Fee" refers to the $10.00 USD fee deducted from each commission payout disbursement.

1.14. "Onboarding" refers to the mandatory setup process that new Subscribers must complete before their account is fully activated.

2. Commission Rate and Structure

2.1. The commission rate for all referred subscriptions is seventy-five percent (75%) of the Subscriber's monthly subscription price, applied uniformly across all Tiers.

2.2. Commissions are recurring. Affiliates earn a commission on each monthly payment made by their referred Subscribers for the duration of the referred Subscriber's active subscription.

2.3. The commission rate applies to the following Tier pricing:

3. Dynamic Two-Up Compensation Model

3.1. Agent Midas uses the Dynamic Two-Up compensation model for commission distribution.

3.2. Under this model, an Affiliate retains the commissions from their first and second Referrals. The commission from every third Referral passes up to the Affiliate's Sponsor.

3.3. The passup pattern is: retain Referral 1, retain Referral 2, pass up Referral 3, retain Referral 4, retain Referral 5, pass up Referral 6, and so on in perpetuity.

3.4. Referral order is determined exclusively by the timestamp (date and time) at which the referred Subscriber's account was created. There is no manual ordering.

3.5. When a Referral passes up, that Subscriber is re-parented in the commission tree and becomes a direct child of the Affiliate's Sponsor. The Sponsor earns commissions from that Subscriber as if they had personally referred them.

3.6. There is no limit to the depth of the commission tree. Passups from Referrals at any level flow upward according to the same pattern.

3.7. PASSUP QUALIFICATION CAP: Each Affiliate is entitled to receive a maximum of ten (10) passup commissions per personally enrolled Subscriber. This means an Affiliate's total passup capacity equals their number of personal enrollments multiplied by ten.

3.8. Example: Tom personally enrolls one (1) Subscriber. Tom's downline members Ken and Bob collectively generate passups through their referral activity. Tom is eligible to receive the first ten (10) passups generated by his downline. Once Tom has received ten passups, all subsequent passups bypass Tom and flow to Tom's Sponsor (the next parent in the tree). This bypass is permanent and irreversible — those passups do not return to Tom even if his capacity later increases.

3.9. If Tom subsequently enrolls a second personal Subscriber, his passup capacity increases to twenty (20). He is now eligible to receive the next ten passups generated by his downline (passups 11 through 20). If Tom enrolls a third personal Subscriber, his capacity increases to thirty (30), and so on. There is no limit to how many personal enrollments an Affiliate may make.

3.10. The Passup Qualification Cap is designed to reward active participation. An Affiliate who personally enrolls one Subscriber and relies entirely on their downline's activity to generate passup income will reach their cap quickly. An Affiliate who actively enrolls multiple Subscribers expands their passup capacity proportionally. The intent is clear: the more you build, the more you earn.

3.11. Once a passup bypasses an Affiliate due to a reached cap, the reassignment to the next qualifying parent is permanent. Passups are assigned at the time they occur based on the Affiliate's capacity at that moment. Subsequent increases in capacity do not retroactively reclaim previously bypassed passups.

3.12. The Passup Qualification Cap is calculated and enforced automatically by the Agent Midas commission engine. Affiliates can view their current passup capacity, passups received, and remaining capacity in their Affiliate Dashboard.

4. Payout Phases

4.1. Phase 1 — New Affiliate (Days 0 through 45)

4.1.1. Phase 1 begins on the date of the Affiliate's first earned commission and lasts for forty-five (45) calendar days.

4.1.2. During Phase 1, twenty percent (20%) of each earned commission is placed into a Rolling Reserve.

4.1.3. The remaining eighty percent (80%) is available for instant payout, subject to the Instant Payout Cap defined in Section 4.1.4.

4.1.4. The Instant Payout Cap during Phase 1 is fifty percent (50%) of the Affiliate's total gross monthly recurring commissions. Any commission amount exceeding this cap is placed into the Rolling Reserve.

4.1.5. Each Rolling Reserve entry is tagged with the Stripe transaction identifier and the date of the underlying payment.

4.1.6. On the forty-fifth (45th) day following the tagged transaction date, the Rolling Reserve amount for that transaction is automatically released and disbursed to the Affiliate, subject to the Administrative Fee defined in Section 5.

4.1.7. The Rolling Reserve release is fully automated and requires no manual review or intervention.

4.2. Phase 2 — Established Affiliate (Day 46 and beyond)

4.2.1. Phase 2 begins automatically on the forty-sixth (46th) day after the Affiliate's first earned commission.

4.2.2. During Phase 2, one hundred percent (100%) of each earned commission is available for instant payout. No Rolling Reserve is withheld.

4.2.3. Payouts are initiated the moment the payment processor (Stripe) confirms the underlying transaction.

4.2.4. The maximum payout in any rolling thirty (30) day period is capped at the Affiliate's total monthly recurring commissions calculated from their current active referred Subscribers.

4.2.5. If cumulative payouts within a rolling 30-day window approach the cap defined in Section 4.2.4, the system will temporarily withhold twenty percent (20%) on new commissions until the 30-day window rolls forward and frees capacity.

4.2.6. The monthly recurring commission ceiling recalculates in real time based on the Affiliate's current active referred Subscribers. If Subscribers cancel, the ceiling decreases accordingly.

5. Administrative Fee

5.1. A fee of ten dollars ($10.00 USD) is deducted from each commission payout disbursement.

5.2. This fee is non-negotiable and applies to all Affiliates regardless of Tier, volume, or Phase.

5.3. The Administrative Fee funds the company's chargeback insurance reserve and payout system operational costs.

5.4. Affiliates may reduce the frequency of this fee by configuring a Minimum Payout Threshold in their account settings (see Section 6).

6. Minimum Payout Threshold

6.1. Each Affiliate may configure a Minimum Payout Threshold between twenty-five dollars ($25.00) and five hundred dollars ($500.00) in their account settings.

6.2. The default Minimum Payout Threshold is fifty dollars ($50.00).

6.3. When a Minimum Payout Threshold is set, earned commissions accumulate in the Affiliate's pending balance until the threshold is met. At that point, a single payout is disbursed with a single Administrative Fee deducted.

6.4. This feature is designed to minimize the impact of the Administrative Fee on smaller commission amounts.

7. Know Your Customer (KYC) Verification

7.1. Effective April 1, 2026, all Affiliates must complete KYC identity verification before receiving commission payouts.

7.2. KYC verification is conducted through Plaid Identity Verification, a secure, bank-grade identity verification system.

7.3. The KYC process requires a valid government-issued photo identification document.

7.4. Affiliates who have not completed KYC verification by April 1, 2026 will have their commission payouts suspended until verification is complete. Earned commissions will continue to accrue but will not be disbursed.

7.5. KYC verification is a one-time process. Once verified, the Affiliate's status remains "Verified" unless the company has reason to require re-verification.

7.6. Buji Development Corporation collects KYC information solely for the purposes of identity verification, regulatory compliance, and tax reporting. All personal information is encrypted and handled in accordance with applicable privacy laws.

8. Payout Method Requirement

8.1. Effective April 1, 2026, all Affiliates must have a connected payout method for their affiliate marketing links to remain active.

8.2. Accepted payout methods are: Bank Account (via Plaid ACH direct deposit), PayPal, and Bitcoin/Cryptocurrency.

8.3. If an Affiliate does not have a connected payout method by April 1, 2026, their affiliate marketing links will be temporarily deactivated until a payout method is connected.

8.4. Affiliate marketing links will be reactivated immediately upon connection of a valid payout method.

9. Onboarding Requirement

9.1. Commissions are earned at the time of the referred Subscriber's payment but are not released for payout until the referred Subscriber completes the mandatory onboarding process.

9.2. The onboarding process consists of a series of setup questions and configuration steps that activate the Subscriber's account.

9.3. Commissions held pending onboarding are labeled "Held — Onboarding Incomplete" in the Affiliate's dashboard.

9.4. Once the referred Subscriber completes onboarding, the associated commission enters the normal payout flow as defined in Section 4.

10. Tax Reporting

10.1. Under United States Internal Revenue Service (IRS) regulations, Buji Development Corporation is required to issue a Form 1099-NEC to any Affiliate who receives six hundred dollars ($600.00) or more in cumulative commissions within a calendar year.

10.2. KYC verification (Section 7) ensures the company has accurate personal information for tax reporting purposes.

10.3. Tax identification numbers collected through the KYC process are encrypted using SHA-256 hashing and are never stored in plain text.

10.4. Affiliates are solely responsible for reporting their commission income to the appropriate tax authorities in their jurisdiction. Buji Development Corporation does not provide tax advice.

11. Fraud, Chargebacks, and Account Integrity

11.1. The Agent Midas platform employs SENTINEL-PAY, an eight-signal fraud detection engine, and Hermes, a DeepSeek R1-powered fraud scoring system, to monitor all financial transactions.

11.2. If a referred Subscriber's payment results in a chargeback, the associated commission will be reversed from the Affiliate's balance.

11.3. If an Affiliate accumulates three (3) or more chargebacks from their referred Subscribers, the Affiliate's account may be automatically frozen pending investigation.

11.4. Buji Development Corporation reserves the right to terminate any Affiliate's participation in the referral program for fraudulent activity, manipulation of the compensation system, or violation of the Terms of Service.

11.5. Self-referrals (referring oneself using one's own affiliate link) are prohibited and will result in commission reversal and potential account termination.

12. Modification and Termination

12.1. Buji Development Corporation reserves the right to modify this Commission Policy at any time with thirty (30) days written notice to all active Affiliates.

12.2. Modifications will be communicated via email to the address on file for each Affiliate and will be posted at agentmidas.xyz/commission-policy.

12.3. Continued participation in the referral program after the effective date of any modification constitutes acceptance of the modified terms.

12.4. Buji Development Corporation may terminate the referral program or any individual Affiliate's participation at any time for cause, including but not limited to fraud, violation of the Terms of Service, or regulatory requirements.

12.5. Upon termination of an Affiliate's participation, any earned and unreleased commissions will be paid out in accordance with this Policy, subject to the Rolling Reserve and onboarding requirements.

13. Governing Law and Dispute Resolution

13.1. This Commission Policy shall be governed by and construed in accordance with the laws of the State of Georgia, United States.

13.2. Any disputes arising from or related to this Policy shall be resolved through binding arbitration in Fulton County, Georgia, in accordance with the rules of the American Arbitration Association.

13.3. The prevailing party in any dispute shall be entitled to recover reasonable attorney's fees and costs.

14. Incorporation into Terms of Service

14.1. This Commission Policy is incorporated by reference into the Agent Midas Terms of Service.

14.2. In the event of a conflict between this Policy and the Terms of Service, this Policy shall control with respect to commission-related matters.

14.3. All other provisions of the Terms of Service remain in full force and effect.

Acknowledgment

By participating in the Agent Midas referral program, each Affiliate acknowledges that they have read, understood, and agree to be bound by this Commission Policy in its entirety.
