Contributor License Agreement

This Contributor License Agreement ("Agreement" or "CLA") is a legally binding contract between you ("Contributor," "you," or "your") and Buji Development Corporation, a Wyoming corporation with its principal office at 1712 Pioneer Ave. Ste. 500, Cheyenne, WY 82001 ("Company," "we," "us," or "our"), governing all contributions to the Agent Midas Developer OS Program. By submitting any Contribution, you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety.
1. Purpose
The Agent Midas Developer OS Program ("Program") is an open-source ecosystem that enables developers worldwide to build applications, integrations, tools, plugins, and extensions ("Apps") for the Agent Midas platform. The Program is designed to expand the Agent Midas marketplace by leveraging community-driven development, while ensuring that all intellectual property created through the Program is properly assigned and managed by the Company.
The purpose of this Agreement is to establish clear terms under which Contributors submit code, documentation, designs, and other materials to the Program, including the assignment of intellectual property rights, compensation through bounty payments, and the granting of free subscription rewards for qualifying Contributors.
2. Definitions
2.1 Contribution
"Contribution" means any source code, object code, documentation, design files, configuration files, data models, test suites, user interface designs, graphics, icons, written content, or any other material that a Contributor submits, uploads, or otherwise provides to the Program, whether through a pull request, direct submission, email, or any other method of delivery. A Contribution includes all modifications, additions, deletions, and derivative works based upon the submitted material.
2.2 Contributor
"Contributor" means any natural person or legal entity that submits a Contribution to the Program. If you are submitting a Contribution on behalf of your employer or another legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement. In such cases, "Contributor" refers to both you individually and the entity you represent.
2.3 Bounty
"Bounty" means the one-time monetary payment of between Fifty United States Dollars ($50.00) and Five Hundred United States Dollars ($500.00) that the Company pays to a Contributor upon the approval and acceptance of a qualifying Contribution. The specific Bounty amount for each Contribution is determined at the sole discretion of the Company based on factors including, but not limited to, complexity, quality, market value, and strategic importance of the Contribution.
2.4 Program
"Program" means the Agent Midas Developer OS Program, including all associated repositories, submission portals, review pipelines, documentation, communication channels, and infrastructure operated by the Company for the purpose of accepting, reviewing, and integrating Contributions into the Agent Midas platform.
2.5 Approved App
"Approved App" means a Contribution that has successfully passed all stages of the review pipeline described in Section 7, has been accepted by the Company, and has been deployed or made available on the Agent Midas platform or marketplace.
3. Full Assignment of Rights
3.1 Irrevocable Assignment
Upon submission of any Contribution, you hereby irrevocably assign, transfer, and convey to Buji Development Corporation all right, title, and interest in and to the Contribution, including but not limited to all copyrights, patent rights, trade secret rights, trademark rights, moral rights (to the extent waivable under applicable law), and all other intellectual property and proprietary rights of any kind or nature, whether now known or hereafter discovered, in any jurisdiction worldwide. This assignment is effective immediately upon submission without the requirement of any further action by either party.
3.2 Scope of Assignment
This assignment includes, without limitation, the right to:
- Reproduce, distribute, display, perform, and create derivative works based upon the Contribution
- Sublicense the Contribution to third parties on any terms the Company deems appropriate
- Use the Contribution in connection with any product, service, or platform, whether currently existing or developed in the future
- Modify, adapt, translate, or otherwise alter the Contribution without notice to or consent from the Contributor
- Register copyrights, patents, or other intellectual property protections in the Contribution in the Company's name
- Enforce intellectual property rights in the Contribution against third parties
3.3 Waiver of Moral Rights
To the maximum extent permitted by applicable law, you irrevocably waive and agree never to assert any moral rights you may have in or to any Contribution, including but not limited to any right of attribution, any right to the integrity of the work, and any right to object to derogatory treatment of the work.
3.4 Further Assurances
You agree to execute any additional documents and take any additional actions reasonably requested by the Company to evidence, perfect, or enforce the assignment of rights set forth in this Section 3. In the event that you are unable or unwilling to execute such documents, you hereby irrevocably designate and appoint the Company as your attorney-in-fact to execute such documents on your behalf, which appointment is coupled with an interest.
4. Originality Guarantee
4.1 Representation of Originality
You represent and warrant that each Contribution you submit is your original work of authorship, or that you have obtained all necessary rights, licenses, and permissions from the original author(s) to assign the Contribution to the Company under the terms of this Agreement. You further represent that no Contribution infringes, violates, or misappropriates any third party's intellectual property rights, privacy rights, publicity rights, or any other legal rights.
4.2 Third-Party Components
If your Contribution incorporates any third-party code, libraries, or other materials, you must: (a) clearly identify all such third-party components in your submission; (b) provide the applicable license terms for each component; and (c) confirm that the license terms of each third-party component are compatible with the assignment of rights under this Agreement. Contributions that include components under "copyleft" licenses (such as GPL, AGPL, or similar) must be disclosed in advance and may be rejected at the Company's discretion.
4.3 No Encumbrances
You warrant that no Contribution is subject to any agreement, obligation, or encumbrance that would conflict with or restrict the rights assigned to the Company under this Agreement. This includes, but is not limited to, employment agreements, consulting agreements, non-disclosure agreements, or any other contracts that may limit your ability to assign intellectual property rights.
5. Bounty as Full Compensation
5.1 Bounty Amount
Upon acceptance and approval of a qualifying Contribution, the Company shall pay the Contributor a one-time Bounty payment of between $50.00 and $500.00, as determined by the Company in its sole discretion. The Bounty amount is communicated to the Contributor at the time of approval and is non-negotiable.
5.2 Payment Method
Bounty payments are processed through Stripe and disbursed to the bank account or payment method designated by the Contributor. The Company will process Bounty payments within thirty (30) business days of Contribution approval. The Contributor is responsible for providing accurate and complete payment information.
5.3 Full and Complete Compensation
You acknowledge and agree that the Bounty payment, together with any applicable free subscription rewards described in Section 9, constitutes full, complete, and final compensation for the Contribution and for all rights assigned to the Company under this Agreement. You shall have no right to any additional payments, royalties, revenue sharing, profit participation, or any other form of compensation in connection with any Contribution, regardless of the commercial success or value derived from the Contribution by the Company.
5.4 Tax Responsibility
The Contributor is solely responsible for all taxes, duties, and other governmental charges arising from the receipt of Bounty payments. The Company may issue IRS Form 1099-NEC or equivalent tax documentation for Contributors who receive aggregate Bounty payments of $600 or more in a calendar year. Non-U.S. Contributors may be required to submit IRS Form W-8BEN or W-8BEN-E prior to receiving payment.
6. Indemnification
6.1 Contributor Indemnification
You agree to indemnify, defend, and hold harmless Buji Development Corporation, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) any breach of your representations, warranties, or obligations under this Agreement; (b) any claim that your Contribution infringes, misappropriates, or otherwise violates any third party's intellectual property rights or other legal rights; (c) any claim that your Contribution contains malicious code, backdoors, or security vulnerabilities intentionally introduced by you; or (d) any inaccuracy in your disclosure obligations under Section 10 regarding the use of AI-generated code.
6.2 Survival
The indemnification obligations set forth in this Section 6 shall survive the termination or expiration of this Agreement and shall remain in full force and effect indefinitely.
7. Security and Code Integrity
7.1 Six-Layer Review Pipeline
All Contributions are subject to a mandatory six-layer security and quality review pipeline before acceptance. No Contribution may be deployed or made available on the Agent Midas platform until it has successfully passed all six layers. The review layers are as follows:

| 5 | Agent RADAR UX Review | AI-powered user experience review evaluating accessibility, responsive design, user flow logic, error handling, and consistency with Agent Midas design system standards. |
| 6 | MIDAS PRIME Final Approval | Executive-level AI review providing final approval based on strategic alignment, marketplace readiness, brand consistency, and overall quality assurance. |
7.2 Rejection and Remediation
Contributions that fail any layer of the review pipeline will be returned to the Contributor with detailed feedback identifying the specific issues. Contributors may remediate and resubmit, subject to the same six-layer review. The Company reserves the right to permanently reject any Contribution that, in its sole judgment, poses an unacceptable security risk or fails to meet quality standards after two resubmission attempts.
7.3 Prohibited Code
Contributions must not contain any of the following:
- Malware, viruses, trojans, ransomware, or any other malicious software
- Backdoors, undisclosed remote access capabilities, or covert data exfiltration mechanisms
- Code that intentionally degrades system performance or causes denial-of-service conditions
- Hardcoded credentials, API keys, private keys, or other sensitive secrets
- Code that bypasses or circumvents the Agent Midas platform security controls
- Obfuscated code intended to conceal the true functionality of the Contribution
8. No Non-Compete
Nothing in this Agreement restricts, limits, or prohibits the Contributor from engaging in any other employment, consulting, freelance, or open-source activities, whether or not such activities are competitive with the Agent Midas platform or the Company's business. Contributors are free to develop software, contribute to other open-source projects, provide services to competitors, and otherwise engage in any lawful activity without restriction.
The sole restriction is that Contributions submitted under this Agreement must be original works as set forth in Section 4 and must not incorporate proprietary code or trade secrets belonging to third parties without proper authorization and disclosure. This Agreement creates no employment, agency, partnership, or joint venture relationship between the Contributor and the Company.
9. Free Subscription Rewards
9.1 Reward Tiers
In addition to Bounty payments, Contributors who achieve specific milestones of Approved Apps receive a complimentary Agent Midas subscription for the duration of their active participation in the Program. The following reward tiers apply:

9.2 Tier Advancement
Tier advancement is cumulative and based on the total number of Approved Apps across the Contributor's entire history of participation. Tier status is evaluated automatically upon the approval of each new Contribution. Upon advancement to a higher tier, the Contributor's subscription is upgraded within one (1) billing cycle.
9.3 Active Participation Requirement
To maintain free subscription benefits, Contributors must remain in active participation, defined as having submitted at least one Contribution (whether approved or under review) within the preceding twelve (12) months. Contributors who do not meet this requirement will receive a sixty (60) day notice before their complimentary subscription is converted to a standard paid subscription at the applicable tier rate.
9.4 Non-Transferability
Free subscription rewards are personal to the Contributor and may not be transferred, assigned, sold, or shared with any third party. Each Contributor is entitled to one (1) complimentary subscription account only.
10. AI-Generated Code Disclosure
10.1 Mandatory Disclosure
Contributors must disclose, at the time of submission, whether any portion of the Contribution was generated or substantially assisted by artificial intelligence tools, including but not limited to large language models (e.g., Claude, GPT, Gemini, Copilot), code generation platforms, AI-assisted IDEs, or any other automated code generation system. This disclosure must identify: (a) the specific AI tools used; (b) the approximate percentage of the Contribution that was AI-generated; and (c) which specific files or components were AI-generated or AI-assisted.
10.2 Contributor Responsibility
Regardless of whether AI tools were used in creating the Contribution, the Contributor remains solely responsible for the accuracy, quality, security, and legal compliance of the entire Contribution. The use of AI tools does not diminish the Contributor's representations, warranties, or obligations under this Agreement, including the originality guarantee in Section 4 and the indemnification obligations in Section 6.
10.3 IP Considerations for AI-Generated Code
Contributors acknowledge that the intellectual property status of AI-generated code is an evolving area of law. By submitting AI-generated or AI-assisted code, the Contributor represents that they have reviewed the terms of service of the AI tools used and that such terms do not conflict with the assignment of rights under Section 3. The Company reserves the right to reject Contributions where the intellectual property status of AI-generated components cannot be sufficiently established.
11. Termination
11.1 Termination by Contributor
A Contributor may withdraw from the Program at any time by providing written notice to the Company at [email protected]. Termination of participation does not affect the assignment of rights for any Contributions already submitted or accepted prior to the date of termination.
11.2 Termination by Company
The Company may terminate a Contributor's participation in the Program at any time, with or without cause, by providing written notice. In the event of termination for cause (including, but not limited to, violation of this Agreement, submission of malicious code, or fraudulent activity), the Company may withhold any unpaid Bounty amounts and immediately revoke free subscription benefits.
11.3 Surviving Provisions
The following provisions survive termination of this Agreement: Section 3 (Full Assignment of Rights), Section 4 (Originality Guarantee), Section 6 (Indemnification), Section 10 (AI-Generated Code Disclosure), and Section 12 (Governing Law). All intellectual property assignments made under this Agreement are irrevocable and are not affected by the termination of the Contributor's participation.
12. Governing Law
12.1 Choice of Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
12.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to this Agreement shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, it shall be submitted to binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Cheyenne, Wyoming, and may be conducted virtually at the arbitrator's discretion. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.
12.3 Entire Agreement
This Agreement constitutes the entire agreement between the Contributor and the Company with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written agreements, representations, and understandings. No amendment or modification of this Agreement shall be binding unless made in writing and signed by both parties or posted as an updated version on www.agentmidas.xyz/legal/contributor.
12.4 Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the parties.
